Software License Agreement

This agreement is between you and OpenGenius Limited (“we”, “us”, or “OpenGenius”), the company behind AYOA. We are registered in England and Wales (company number 05653541) with our registered office at Tec Marina, Terra Nova Way, Penarth, CF64 1SA.

When you create an account or use AYOA, you agree to these terms. Please read them carefully. If you don’t agree, you must not use AYOA.

Important: You should print or save a copy of this agreement for your records.

What you're getting

We give you a license to use AYOA (the software and related services). You do not own AYOA – we remain the legal owners at all times. You can use AYOA for personal, educational, or business purposes, within the limits of this agreement.

This agreement also covers any electronic documents that come with the software.

System requirements

AYOA is browser-based and works on all modern web browsers including:

Recent versions of Safari

Google Chrome

Firefox

Internet Explorer 11+

Additionally, mobile applications of AYOA are available for iOS and Android compatible devices.

Please check that your operating system can support it before accepting this agreement and downloading the software.

How you can use AYOA

You may:

 

  • Download, install and use AYOA for your personal purposes (if you’re a consumer) or internal business purposes (if you’re a business):
    • On one device if you have a single-user license
    • By the number of concurrent users we’ve agreed with you if you have a multi-user (team plan) or Enterprise license
  • Make backup copies – up to one copy of the software for backup purposes only
  • Receive updates – free software updates incorporating patches and version updates (called “Maintenance Releases”)
  • Use documentation – any documents that support your permitted use of AYOA, and make copies as reasonably necessary

What you cannot do

You must not:

(Technical restrictions)

  • Copy the software or documents except for normal use or necessary backups
  • Rent, lease, sub-license, loan, translate, merge, adapt, vary or modify AYOA
  • Make alterations to or modifications of any part of AYOA
  • Disassemble, decompile, reverse-engineer or create derivative works (except where UK law specifically allows this for software interoperability)
  • Combine AYOA with other programmes unless explicitly permitted and formerly agreed by OpenGenius Ltd
  • Use mechanisms, software or scripts when using AYOA
  • Block, overwrite, modify or copy any contents of AYOA

(Distribution and access)

  • Provide AYOA to anyone other than your team members (within team plans)  without our written consent
  • Share your account with others (one account = one person)
  • Allow source code access (you don’t have this right)

(Legal compliance)

  • Use AYOA for illegal activity
  • Breach applicable technology control or export laws and regulations
  • Breach copyright, plagiarism or infringement law
  • Fail to comply with our Terms and Conditions and Acceptable Use Policy

Plans and fees

Free plan

We offer a free version so you can test the compatibility of AYOA with your time management and project planning  requirements. Free AYOA plans provide limited access to features, including import/export options and AI assistance.

Paid plans – AYOA 

  • Paid monthly or annually with auto-renewal unless you cancel or withdraw payment information from your Account Settings
  • Include full access to enhanced functionality, limitless Mind Maps, Projects and AI Assistance
  • Some user plans are no longer commercially available – these terms still apply, however please note that not all AYOA functionality may be available to you. Contact support@ayoa.com  if you have any queries.

Lifetime access

This refers to the lifetime of the AYOA product, not your lifetime. If the product is discontinued, replaced, or becomes commercially unviable, lifetime access to your AYOA plan may end. We’ll give notice and, where possible, provide alternative solutions for your project needs.

Payment terms

  • Fees are payable in advance (monthly or annually)
  • All fees exclude VAT or local taxes unless otherwise stated
  • If you’re outside the UK, you may be liable for additional VAT and local taxes subject to local law
  • EU VAT registered companies can enter their VAT number during payment
  • We’ll notify you by email of any fee changes

Refunds

Typically not available, but requests are reviewed on a case-by-case in line with consumer laws. You won’t be entitled to a refund after payment except in specific circumstances:

  • We suspend the software for technical reasons we can’t fix
  • We tell you about changes to AYOA and you don’t want to proceed
  • We tell you about an error in pricing or description

Payment Issues

If we can’t take payment:

  • You will be notified automatically in advance by email
  • We may suspend your access until payment is made
  • We may charge interest at 4% above Bank of England base rate
  • We may claim bank charges and other costs from you

Please note: payment cannot be taken unless you provide us with your preferred payment method inside AYOA Account Settings. OpenGenius cannot charge you without your provision of this information.

AI features

AYOA uses AI providers OpenAI and DeepGram to power features such as:

  • Mind Map idea generation
  • Content structuring
  • Audio-to-text transcription
  • Imports and exports
  • Idea suggestion

Important AI guidelines

  • AI is here to help you, not to make decisions for you
  • AI outputs may not always be correct, unbiased, or complete
  • You are responsible for checking accuracy, originality, and plagiarism implications when using AI suggestions
  • These are add-on services provided by third-party companies
  • We reserve the right to terminate AI services at any time without notice or refunds

Fair use policy

AI Services

Your usage should follow reasonable and fair practices. Excessive or abusive use (including repetitive or automated queries) may result in restrictions on your access.

Board size and resource management inside AYOA

Excessive creation of large boards or high volumes of boards may significantly impact performance for all users. 

You must manage board resources responsibly. Boards that excessively strain our servers may be archived or removed at our discretion.

File storage

You must use file storage fairly and not to such an extent that it limits resources for other users. We may terminate access if we determine your usage is excessive.

Account sharing

User accounts are for the exclusive use of the registered user. Account sharing violates this agreement and may result in suspension or termination.

Security and data protection

  • Encryption: All data is encrypted at rest (AES-256) and in transit (TLS 1.2+)
  • Hosting: Microsoft Azure and AWS Cloud hosting, with enterprise-grade security
  • Compliance: ISO 27001, SOC, GDPR, CCPA, HIPAA standards
  • AI Partner Processing: Data may be processed by our AI partners, who may retain data for short periods (up to 30 days) to prevent misuse. 
  • Standards: We follow ISO 27001:2022, GDPR, Cyber Essentials+, and UK Government best practices including Secure By Design and NCSC Cyber Assurance Framework

Academic and educational use

Many users rely on AYOA for essays, research, and learning. If you’re an educational institution, this agreement applies to you and each teaching staff member and registered student at your site.

Plagiarism responsibilities

  • AI suggestions must be used responsibly
  • Always check originality and cite source information accurately
  • You are fully responsible for how AI content is used in your work
  • You must comply with your institution’s academic integrity policies

Team subscriptions

The administrator or super user is the subscription holder. Team members who accept invitations agree that administrators are their authorised representatives. Administrators may:

  • Remove team members from subscriptions
  • Remove access to team member accounts
  • Change email addresses or passwords
  • Delete team member accounts
  • Access, delete, or redistribute team member content without confirmation

Content ownership

 

Any boards or content created in team member accounts becomes the property of the admin.

Important: If you don’t consent to these terms, don’t accept a team invitation.

Service levels and support

Uptime and performance

  • Core AYOA functionality works even when AI features are unavailable
  • We cannot guarantee continual availability but will keep interruptions minimal
  • Application updates are delivered out of core operational hours to minimise service disruption
  • We achieve consistently high levels of uptime / service availability in collaboration with our cloud networking providers

Help Desk response times

  • First responses are provided within 72 hours / 3 business days (9am-4pm, Monday-Friday, excluding holidays)
  • Standard resolution within 7 working days (varies by complexity with shorter turnarounds for critical and high incidents)
  • We’ll notify you if resolution activity will take longer than 7 days (e.g. bug fix or patch required to resolve your issue)

Planned and unplanned outages

  • Planned downtime: We will give you a minimum 48 hours notice by email (up to 7 days where possible) for planned outages
  • Unexpected interruptions: We will communicate unexpected outages to you ASAP via available channels (email, social media, homepage)

Software updates and new versions of AYOA

Maintenance releases

We provide free maintenance releases (patches and error corrections) that you should install as soon as reasonably practicable. These won’t adversely affect existing software functions.

New versions

We may create new versions with significant differences that constitute new products. We also reserve the right to modify AYOA by adding or removing features at any time.

Please note that you will be unable to access new features on AYOA mobile unless you update your AYOA App on your mobile device. For assistance please contact support@ayoa.com

Incident management

We are committed to protecting your privacy and enforce a robust incident management policy should data be compromised due to a cyber attack. OpenGenius is an ICO registered business and works closely to NSCS and UK government guidelines as well as international data protection governance to keep your information secure.

Should a security incident occur, we will:

  • Conduct an initial cybersecurity assessment: Within 24 hours of discovery
  • Engage our expert security partners to resolve the incident
  • Notify you within 48 hours if you’re affected
  • Work with external regulation teams and record the incident within 72 hours if required with the ICO and NSCS as per GDPR guidelines.

We actively monitor the threat landscape and continually evolve our cybersecurity strategy to ensure your data is protected.

Intellectual property

  • All rights in AYOA (software, documents, branding) remain with OpenGeniusLtd.
  • You own your content and data, but grant us the right to host and process it so the software continues to function
  • Rights in AYOA are licensed (not sold) to you
  • You have no rights beyond those specified in this agreement

Liability and risk limitations

If you’re a business user

We acknowledge that AYOA hasn’t been developed to meet your specific individual requirements. You must ensure AYOA meets your needs before use.

We are not liable for:

  • Loss of profits, sales, business, or revenue
  • Business interruption
  • Loss of anticipated savings
  • Loss or corruption of data
  • Loss of business opportunity, goodwill or reputation
  • Any indirect or consequential loss

Maximum liability: Limited to the license fee you’ve paid, except for death/personal injury from our negligence, fraud, or other liability that cannot be excluded under English law.

If you’re a single consumer

We supply AYOA for domestic and private use only. We’re only responsible for foreseeable loss or damage resulting from our breach or negligence, up to the license fee amount.

Maximum liability: Limited to the license fee, except for death/personal injury from our negligence, fraud, or other liability that cannot be excluded under English law.

General risk limitations

  • We’re not liable for losses caused by reliance on AI outputs
  • We can’t be responsible for events beyond our control (force majeure)
  • We’re not liable for damage you could have avoided by installing updates or following instructions

Termination

Your right to terminate

You can stop using AYOA and terminate this agreement at any time by notifying us in writing. You can cancel your plan at any time from within your Account Settings – cancellation takes effect at your next renewal date.

Our right to terminate

We may terminate immediately with written notice if you commit a material or persistent breach that you fail to remedy within 14 days. Material breaches include:

  • Failure to pay fees
  • Failure to comply with additional obligations in this agreement

After termination

  • All rights granted to you cease
  • You must stop all activities authorised by this agreement
  • You must pay any outstanding amounts
  • You must delete or return all copies of AYOA and documents
  • Your personal data will be handled according to our Privacy Policy

Communications

Consumer communications

If you’re a consumer and you would like to submit any communication to us, contact us by email or post to OpenGenius Limited at Tec Marina, Terra Nova Way, Penarth, CF64 1SA. 

We’ll confirm receipt normally by email, so please be sure to include all pertinent contact information.

Business communications

If you’re a business, notice is deemed received immediately when posted on our website, 24 hours after email is sent, or three days after posting a letter. 

If you need to escalate a matter, please contact support@opengenius.com 

Events outside our control

We won’t be liable for failure to perform due to events beyond our reasonable control, including telecommunications and internet network failures. 

If this happens, our obligations are suspended for the duration, and we’ll use reasonable effort to work with you to find a mutually agreeable and viable solution.

Other important terms

Assignment and transfer

  • We may transfer our rights to another organisation (won’t affect your rights)
  • You may only transfer your rights with our written agreement

Severability

If any part of this agreement is found invalid, the remaining parts stay in force.

Waiver

If we don’t enforce a term once, it doesn’t mean we waive the right to enforce it later.

Entire agreement (Business customers)

For business customers, this agreement constitutes the entire agreement and supersedes all previous agreements, promises, and understandings unless otherwise stated in bespoke contracts approved by OpenGenius Ltd.

Governing law and jurisdiction

Consumer rights

If you’re a consumer, this agreement is governed by English and Welsh law. Courts of England and Wales have jurisdiction, though Northern Ireland and Scottish residents may also bring proceedings in their home jurisdictions.

Nothing in this agreement limits your mandatory statutory rights under local consumer laws.

Business terms

If you’re a business, this agreement and all disputes are governed by English and Welsh law, with exclusive jurisdiction in England and Wales courts.

Privacy

We use your personal information as set out in our Privacy Policy. Please refer to that document for details on how we collect, use, and protect personal data.
