What’s in these terms?

This Acceptable Use Policy (“Policy”) sets out the rules that apply when you access or use our website, services, software, applications, APIs, or interactive features (together, the “Service”). It also sets content standards for Contributions you make (any material you upload, post, or otherwise provide via the Service).

 

By using the Service, you confirm that you accept and agree to comply with this Policy.

Changes to this policy

Prohibited uses

You may use the Service only for lawful purposes. You may not use the Service:

  • For unlawful or fraudulent purposes, or with unlawful or fraudulent effect.

  • To harm or attempt to harm minors.

  • To bully, harass, intimidate, humiliate, or discriminate against others.

  • To facilitate illegal activity, including money laundering, illicit trading, or fraud.

(Security & system integrity)

  • To introduce viruses, malware, spyware, ransomware, or other harmful code.

  • To overload, flood, or disrupt the availability or performance of the Service (including denial‑of‑service or distributed denial‑of‑service attacks).

  • To attempt unauthorised access to accounts, systems, or data (including brute force or credential stuffing).

  • To circumvent or disable any security, usage limits, quotas, or access controls.

  • To reverse engineer, decompile, or disassemble the Service, except where permitted by law.

(Data misuse)

  • To scrape, harvest, or collect data or content by automated means without written permission.

  • To upload or distribute infringing, defamatory, obscene, offensive, hateful, or otherwise unlawful material.

  • To impersonate another person, misrepresent identity, or engage in phishing or spoofing.

  • To send spam, unsolicited advertising, or promotional material.

(Intellectual property & fair use)

  • To reproduce, duplicate, copy, sell, resell, or exploit any part of the Service without authorisation.

  • To exceed usage quotas or fair use limits (e.g. storage, boards, API calls, compute resources). We may throttle, limit, or suspend excessive or abusive use.

Interactive services

We may provide interactive services (e.g. forums, chat, AI support agents). Where provided:

  • We will inform you if moderation is applied, and whether human or automated.

  • We are not obliged to oversee, monitor, or moderate interactive services but may do so.

  • Use of interactive services by minors requires parental/guardian consent.

  • You must use interactive services responsibly and comply with this Policy.

Users may report abuse or inappropriate content via support@ayoa.com . Where moderation applies, a contact channel for raising concerns will be provided. We may remove content or suspend accounts without notice if required.

Content standards

These standards apply to all Contributions. Contributions must:

 

  • Be accurate (where factual)

  • Be genuinely held (where opinion)

  • Comply with law in England & Wales and in the country of posting

Contributions must not:

 

  • Defame, harass, or abuse any person

  • Contain obscene, hateful, discriminatory, violent, or sexually explicit content

  • Promote terrorism, extremism, or criminal activity

  • Infringe copyright, trademark, database, or other IP rights

  • Mislead, deceive, or breach duties of confidentiality

  • Invade privacy, cause harassment, or create needless anxiety

  • Impersonate others or misrepresent affiliation

  • Contain advertising, promotional material, or external links unless authorized

  • Otherwise contravene our discretion as inappropriate in the context of the Service

We may retain logs, backups, or copies of Contributions for compliance and investigation purposes, subject to our Privacy Policy.

Breach of this policy

If we believe you have breached this Policy, we may take action including:

  • Immediate, temporary, or permanent withdrawal of access to the Service

  • Removal of Contributions

  • Warnings or account suspensions

  • Throttling or limiting of abusive use

  • Disclosure of information to law enforcement or regulators

  • Legal action, including recovery of costs and damages

Our decision on enforcement is final. Our choice not to enforce a term on one occasion does not waive our right to enforce it later.

Survival, severability & interpretation

  • Certain provisions (liability, indemnity, audit, dispute resolution) survive termination of your account.

  • If any provision is found invalid, the remaining provisions remain in force.

  • Headings are for convenience only and do not affect interpretation.

Governing law & jurisdiction

  • If you are a consumer, this Policy and related disputes are governed by English & Welsh law. You and we agree that the courts of England & Wales have jurisdiction, except that if you are a resident of Northern Ireland or Scotland, you may also bring proceedings there.

     

  • If you are a business, this Policy and all related disputes (including non‑contractual disputes) are governed by English & Welsh law. We both agree to the exclusive jurisdiction of the courts of England & Wales.

     

  • Nothing in this Policy limits your mandatory statutory rights under local consumer laws.

Service – The AYOA  website, software, applications, APIs, and all related features provided by OpenGenius Ltd.
Usage Limits / Quotas – Any limits we set on your use of resources (e.g. storage, boards, projects, API calls, compute time) to ensure fair use.
Automated Means – Any non-human automated tool, such as bots, crawlers, scrapers, or scripts, used to interact with the Service.
User – Any individual or entity accessing or using the Service under this Policy.
We / Us / Our – OpenGenius Ltd, operator of the AYOA Service.
You / Your – The individual or entity accessing or using the Service.
